Terms of Service

1. Acceptance of terms

By accessing our website, creating an account, or engaging our services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the service. If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. Use of the service

• Account responsibility. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account.
• Lawful use. You agree to use the service only for lawful purposes and not to interfere with, disrupt, or attempt to gain unauthorised access to our systems or those of our providers.
• No redistribution. Unless we agree otherwise in writing, you may not resell, sublicense, or redistribute deliverables, materials, or training content beyond the scope of your engagement.

3. Engagements, orders & payment

• Currency. Fees are quoted and payable in Nigerian Naira (NGN) or United States Dollars (USD), as stated for the engagement.
• Taxes. Prices may be exclusive of applicable taxes, levies, and duties, which are your responsibility unless we state otherwise.
• Payment processor. Payments are processed by our third-party processor, TransactPay. Your use of payment services is subject to their terms in addition to ours.
• Project scope acceptance. Each engagement is governed by an agreed scope, statement of work, or order confirmation. Work outside the agreed scope may require a separate quote and approval before it proceeds.

4. Intellectual property

Ownership of the bespoke deliverables produced for your engagement transfers to you upon full payment of the applicable fees. Until full payment is received, all rights in the deliverables remain with Tech Xtra.

Tech Xtra retains ownership of its pre-existing intellectual property, including frameworks, libraries, tooling, methodologies, and know-how used to produce the deliverables. Where such pre-existing IP is embedded in a deliverable, you receive a non-exclusive licence to use it as part of that deliverable.

5. Refunds & cancellations

Refunds and cancellations are governed by our Refund Policy ↗, which sets out eligibility by engagement stage, non-refundable items, and how to request a refund.

6. Limitation of liability

To the maximum extent permitted by law, Tech Xtra will not be liable for any indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with the service. Our total aggregate liability for any claim arising from an engagement will not exceed the fees you paid for that engagement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

7. Changes to terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes will be communicated where appropriate. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.

8. Governing law & jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. You agree to submit to the exclusive jurisdiction of the courts of Ogun State, Nigeria, in respect of any dispute arising out of or in connection with these Terms or your use of the service.
